Terms of service.

Acceptance

These Terms of Service ("Terms") govern your access to and use of shellz.org, SHELLX, and any related websites, applications, software, features, subscriptions, APIs, communities, and services provided by Shellz (collectively, the "Services").

By accessing, downloading, purchasing, subscribing to, or using the Services, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree to these Terms, do not use the Services.

Nothing in these Terms limits or excludes any consumer, privacy, contractual, or other right that cannot lawfully be waived under applicable Canadian federal, provincial, or territorial law.

Eligibility

You must have the legal capacity to enter into a binding agreement and must use the Services in compliance with applicable law.

The Services are intended for adults and are not directed toward children.

Accounts

You are responsible for:

• maintaining the security of your account;
• protecting your login credentials, API keys, tokens, passwords, and authentication information;
• maintaining control of devices authorized to access your account; and
• all activity occurring through your account.

Unless expressly permitted by Shellz, accounts and subscriptions are intended for the individual account holder and may not be sold, rented, shared, transferred, distributed, or made available to unrelated third parties.

Certain licensing, authentication, fraud-prevention, and anti-abuse systems may associate an account with an authorized device or hardware identifier.

Recurring subscriptions

Pro and Elite are recurring monthly subscriptions.

By subscribing, you authorize Shellz and its payment processor, Stripe, to charge your selected payment method the displayed subscription price and applicable taxes each billing period until you cancel.

Subscriptions automatically renew monthly unless cancelled.

You may cancel recurring billing at any time through the Stripe billing portal available from your Shellz account or pricing interface.

Cancellation prevents the next recurring charge.

Cancellation does not retroactively cancel a billing period that has already begun and does not, by itself, create a refund entitlement.

You will ordinarily retain access to the applicable subscription features until the end of the billing period you have already paid for, unless your account is suspended or terminated under these Terms.

No cancellation fee or penalty is charged for cancelling future renewal.

Pricing changes

We may change subscription pricing.

Where reasonably practicable and where required by applicable law, we will provide notice before a pricing change applies to an existing subscription.

A new subscription price will normally take effect beginning with a future billing cycle rather than retroactively changing a billing period already paid for.

If you do not agree with a future subscription price, you may cancel before the applicable renewal.

All sales final — no voluntary refunds

Except where a refund, cancellation, rescission, reimbursement, or other remedy is expressly required by applicable law, all payments to Shellz are final and non-refundable.

Shellz does not offer voluntary refunds or prorated refunds for subscription charges that have already been processed.

Without limiting the above, there are ordinarily no refunds because:

• you change your mind;
• you stop using the Services;
• you cancel during an active billing period;
• you fail to use some or all of a billing period;
• you delete your account;
• you lose access because of your own actions;
• your account is suspended or terminated under these Terms;
• you are banned from a Shellz community;
• your hardware is incompatible;
• your drivers are missing, outdated, or incorrectly configured;
• your operating system is incompatible or incorrectly configured;
• security software interferes with the Services;
• your network or internet connection prevents use;
• a third-party application changes;
• a website or browser changes;
• an operating system update changes compatibility;
• a user-configured integration stops working;
• an unsupported integration stops working;
• an API provider changes its service;
• an AI provider changes, renames, removes, limits, or retires a model;
• Shellz replaces an AI model with another supported model;
• an external provider experiences an outage;
• you are dissatisfied with the speed, style, quality, accuracy, usefulness, or suitability of AI-generated output;
• the Services experience temporary downtime;
• an account is temporarily throttled;
• usage limits are applied in accordance with these Terms;
• you failed to review available product information before purchasing; or
• you expected functionality that Shellz did not expressly represent as included with your subscription.

This policy applies to the maximum extent permitted by applicable law.

Mandatory legal rights

Nothing in these Terms removes any refund, cancellation, rescission, charge-reversal, reimbursement, or other remedy that applicable law requires Shellz to provide.

Where applicable law requires a remedy despite this no-refund policy, Shellz will provide the remedy required by that law.

This exception does not create an additional voluntary refund policy.

Billing errors

A genuine billing error caused by Shellz or its payment infrastructure, such as an accidental duplicate charge for the same intended transaction, may be corrected.

Correction of a verified billing error is not considered a voluntary refund.

Contact support if you believe a billing error occurred.

Disagreement with a valid purchase, dissatisfaction with the Services, or failure to use a subscription is not a billing error.

Chargebacks and payment disputes

You may not initiate fraudulent, deceptive, or abusive payment disputes or chargebacks.

Where we reasonably believe a chargeback or payment dispute is fraudulent or abusive, we may suspend or terminate the associated account and take other reasonable action to protect the Services.

Nothing in this section prevents a consumer from exercising a legitimate payment-dispute or chargeback right available under applicable law or the lawful rules of their payment provider.

Acceptable use

You may not use the Services to:

• violate any applicable law or regulation;
• infringe intellectual-property rights;
• violate another person's privacy or contractual rights;
• access systems, accounts, networks, devices, or data without authorization;
• distribute malware, phishing content, malicious code, or other unlawful material;
• conduct unauthorized scanning, exploitation, intrusion, interception, or denial-of-service activity;
• bypass authentication, authorization, subscription controls, licensing controls, rate limits, device restrictions, or security mechanisms;
• attack, probe, overload, disrupt, reverse-engineer, exploit, or attempt unauthorized access to Shellz infrastructure;
• obtain unauthorized access to third-party APIs;
• misuse another person's credentials or account;
• interfere with other users' access to the Services;
• engage in payment, subscription, promotional, trial, or account abuse;
• violate applicable acceptable-use rules imposed by third-party providers used through the Services; or
• submit or process illegal, fraudulent, abusive, infringing, or malicious content.

Dual-use and security functionality

Certain SHELLX functionality may be useful for legitimate:

• system administration;
• diagnostics;
• automation;
• software analysis;
• malware analysis;
• security research;
• reverse engineering;
• penetration testing;
• development; or
• other authorized technical activities.

Some of these capabilities may also be capable of misuse.

You may use security-sensitive functionality only on:

• systems you own;
• systems you are expressly authorized to access or test; or
• systems and data you are otherwise legally entitled to interact with.

Shellz does not authorize malicious, fraudulent, destructive, invasive, or otherwise unlawful use of the Services.

You are responsible for ensuring that your use is authorized and lawful.

Marketing and demonstrations

Shellz marketing, videos, social-media content, tutorials, demonstrations, fictional scenarios, jokes, advertisements, and promotional materials may use stylized, humorous, exaggerated, provocative, or attention-oriented presentation.

Marketing content does not grant authorization to use SHELLX or another Service unlawfully.

A demonstration of technical functionality does not mean Shellz authorizes every possible use of that functionality.

Users remain responsible for their own conduct.

Account abuse, suspension, and termination

We may restrict, suspend, throttle, or terminate an account where we reasonably believe that:

• these Terms have been violated;
• payment fraud has occurred;
• chargeback abuse has occurred;
• account sharing has occurred;
• credentials have been distributed;
• subscription systems are being exploited;
• promotional or trial systems are being abused;
• device restrictions are being circumvented;
• security systems are being attacked or bypassed;
• unauthorized API access is being attempted;
• the Services are being automated or scripted in an abusive manner;
• usage materially exceeds what would reasonably be expected from ordinary individual use in a manner that threatens the sustainability or availability of the Service;
• continued access creates a material security, legal, operational, or financial risk; or
• restriction is otherwise reasonably necessary to protect Shellz, its infrastructure, third-party providers, or its users.

Where legally permitted, action may occur without advance notice.

We are not required to wait until suspected abuse causes actual damage before taking reasonable protective measures.

Temporary throttling and usage controls

AI models, APIs, hosting, infrastructure, and other services used to provide Pro and Elite features may generate usage-based costs.

To protect the availability and financial sustainability of the Services, we may apply reasonable temporary usage controls where an account exhibits activity reasonably associated with abuse, automation, account sharing, exploitation, or disproportionate usage.

These measures may include:

• reducing request rates;
• reducing request volume;
• limiting context length;
• limiting response length;
• queuing requests;
• temporarily restricting particular models;
• temporarily restricting certain features; or
• where disclosed through the Service, routing requests through an alternative supported model.

Temporary throttling is not considered cancellation of a subscription or general service downtime.

Except where applicable law requires otherwise, throttling does not create a refund or credit entitlement.

Security and abuse detection

We may use operational and account-level information to detect fraud, abuse, security threats, and unusual usage.

This may include information such as:

• request counts;
• usage volume;
• request timing;
• subscription tier;
• model selection;
• rate patterns;
• authentication events;
• authorized-device information; and
• security indicators.

Our handling of personal information and submitted content is further described in our Privacy Policy.

We may decline to disclose internal fraud-detection methods, security thresholds, abuse-detection systems, investigative techniques, or similar information where disclosure could reasonably assist circumvention or attack.

Community access

Shellz may operate Discord servers, forums, support communities, chat areas, or other community spaces.

Community access is a separate privilege and is not itself a paid feature unless expressly stated otherwise.

We may warn, mute, restrict, remove content from, suspend, or ban users for behavior including:

• harassment;
• threats;
• spam;
• trolling;
• repeated disruption;
• impersonation;
• unauthorized advertising;
• ban evasion;
• malicious activity; or
• violation of Community rules or these Terms.

A Community ban does not ordinarily cancel an otherwise active paid subscription unless the underlying conduct also justifies Service suspension or termination.

A Community ban does not create a refund entitlement except where applicable law requires otherwise.

User content

You retain ownership of content you submit through the Services.

You grant Shellz only the limited, non-exclusive rights reasonably necessary to:

• receive the content;
• process it;
• temporarily transmit it;
• deliver it to a third-party provider selected or required for the requested functionality;
• return results to you;
• secure the Service; and
• otherwise perform the specific function you requested.

This limited permission exists only to the extent reasonably necessary to provide and secure the Services.

It does not transfer ownership of your content to Shellz.

The collection, processing, retention, deletion, and disclosure of personal information and submitted content are further governed by the Shellz Privacy Policy.

Third-party providers

The Services may rely on third-party providers, including:

• Stripe;
• OpenAI;
• Anthropic;
• Google;
• xAI;
• OpenRouter;
• hosting providers;
• authentication providers;
• infrastructure providers; and
• other API or technology providers.

Third-party providers operate under their own terms, privacy practices, technical limitations, availability, and acceptable-use policies.

Shellz does not control third-party providers.

AI models and provider changes

AI providers regularly:

• release new models;
• retire models;
• rename models;
• alter APIs;
• change pricing;
• change rate limits;
• change context limits;
• change capabilities;
• change acceptable-use rules; and
• discontinue functionality.

Accordingly, Shellz may add, remove, rename, substitute, restrict, or replace AI models or providers.

The availability of a specific third-party model is not guaranteed indefinitely unless Shellz expressly states otherwise in writing.

Where practical, Shellz may substitute a comparable supported model or provider.

Except where applicable law expressly requires otherwise, changes originating from third-party model or API availability do not create a refund entitlement.

Third-party applications and user configurations

SHELLX may be configurable for use with other applications, websites, browsers, services, or software.

Unless Shellz expressly identifies a particular integration as officially supported, Shellz does not warrant compatibility with that third-party product.

Users may independently discover, configure, or share integrations.

A third-party update may break a previously functional user-created integration.

Unless the integration was expressly represented by Shellz as a supported paid feature, loss of that user-configured integration does not constitute loss of the SHELLX subscription or create a refund entitlement except where required by applicable law.

Local system compatibility

Computer hardware, drivers, operating systems, antivirus software, endpoint-security software, network configuration, permissions, and third-party applications may affect SHELLX.

Where free functionality is available for compatibility testing, users are encouraged to test it before purchasing a subscription.

Except where applicable law requires otherwise, local system incompatibility does not create a refund entitlement.

Ai-generated output

AI-generated output may contain:

• factual errors;
• outdated information;
• omissions;
• hallucinations;
• incorrect code;
• inaccurate analysis; or
• other unexpected results.

AI output should not automatically be treated as authoritative.

You are responsible for independently reviewing and validating generated output where accuracy, safety, legal compliance, security, finance, health, or another important consequence is involved.

Shellz does not guarantee that AI-generated output will be accurate, complete, suitable, or error-free.

Service availability

The Services are provided on an "as is" and "as available" basis.

We may perform maintenance or experience:

• outages;
• network failures;
• API failures;
• hosting failures;
• provider outages;
• model outages;
• degraded performance; or
• temporary feature unavailability.

We do not guarantee uninterrupted availability.

Temporary downtime does not ordinarily create a monetary refund entitlement.

Shellz may, at its sole discretion, provide:

• subscription-time extensions;
• account credits;
• alternative access; or
• another non-cash accommodation.

Any discretionary accommodation:

• is voluntary;
• is not an admission of liability;
• does not create a continuing contractual right; and
• does not require Shellz to provide the same accommodation in the future.

Mandatory rights under applicable law remain unaffected.

Changes to features and services

The Services will evolve.

We may modify, add, replace, restrict, suspend, or discontinue features for reasons including:

• product development;
• technical limitations;
• security;
• legal requirements;
• financial sustainability;
• API changes;
• provider changes;
• provider shutdowns;
• model retirement; or
• changes in third-party terms.

Where practical, we may provide alternative functionality.

Except where applicable law requires otherwise, a modification or discontinuation does not automatically create a refund entitlement.

Disclaimer of warranties

To the maximum extent permitted by applicable law, the Services are provided without warranties of any kind, whether express, implied, statutory, or otherwise.

We do not warrant that:

• the Services will always be available;
• the Services will be uninterrupted;
• all features will remain unchanged;
• the Services will be error-free;
• every third-party integration will continue working;
• every AI provider will remain available; or
• AI-generated output will be accurate.

Nothing in this section excludes a warranty, condition, or other right that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by applicable law, Shellz, SHELLX, and their owners, operators, employees, contractors, service providers, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes, without limitation:

• lost profits;
• lost revenue;
• lost business opportunities;
• lost data;
• loss of use;
• business interruption;
• loss of goodwill; or
• similar intangible losses.

To the maximum extent permitted by applicable law, our aggregate liability arising from or relating to the Services will not exceed the greater of:

(a) the amount you paid directly to Shellz for the Services during the twelve months immediately preceding the event giving rise to the claim; or

(b) CAD $100.

Nothing in these Terms limits liability or remedies that cannot lawfully be limited or excluded.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Shellz and its owners, operators, officers, employees, contractors, service providers, and affiliates from third-party claims, liabilities, damages, losses, costs, and reasonable expenses arising from:

• your unlawful use of the Services;
• content you submit;
• your material violation of these Terms;
• your violation of applicable law; or
• your violation of another person's rights.

This provision does not require a consumer to indemnify Shellz to the extent such an obligation is prohibited by applicable law.

Privacy

Your use of the Services is also governed by the Shellz Privacy Policy available at:

The Privacy Policy describes how Shellz collects, uses, processes, retains, safeguards, and discloses personal information.

Electronic communications

Shellz may send account, billing, security, service, support, and other operational communications where reasonably necessary to administer the Services.

Marketing and promotional electronic communications will be handled in accordance with applicable law.

Where required, marketing messages will include a method for withdrawing consent or unsubscribing.

Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.

Subject to any mandatory consumer right to bring proceedings elsewhere, disputes arising from these Terms or the Services may be brought before courts of competent jurisdiction in British Columbia, Canada.

Nothing in this section deprives a consumer of a mandatory jurisdiction, remedy, tribunal, regulator, or other right provided by applicable law.

Changes to these terms

We may update these Terms as the Services, legal requirements, security environment, or third-party dependencies change.

For users without an active paid subscription, updated Terms may become effective when posted, subject to any notice or consent required by law.

For existing paid subscribers, a material contractual change will ordinarily apply beginning with a subsequent subscription renewal after reasonable notice.

Changes may take effect sooner where reasonably necessary to:

• comply with applicable law;
• comply with a court or regulatory requirement;
• address a material security issue;
• address fraud or newly identified abuse;
• satisfy an upstream provider requirement; or
• prevent material harm to Shellz, its users, or its infrastructure.

Where applicable law requires notice, consent, cancellation rights, refunds, or another remedy, those requirements will be respected.

Continued use after revised Terms lawfully become effective constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or interpreted to the minimum extent necessary where legally permitted.

The remaining provisions remain in effect.

If any portion of the no-refund policy cannot lawfully be applied to a particular transaction, only the legally required exception applies. The remaining no-refund provisions continue to apply to the maximum extent permitted by law.

No waiver

Failure by Shellz to immediately enforce a provision of these Terms does not waive the right to enforce it later.

A discretionary refund, subscription extension, credit, exception, support accommodation, or other one-time action does not establish an obligation to provide the same accommodation in another case.

A refund provided because applicable law requires it does not establish a voluntary refund policy.

Do not post passwords, API keys, payment details, or other sensitive personal information in a public Discord channel.

Consumer rights

These Terms are intended to operate alongside applicable Canadian federal, provincial, and territorial consumer-protection laws.

If these Terms conflict with a statutory consumer right that cannot lawfully be waived, the statutory right prevails only to the extent of that conflict.

Except for mandatory rights required by law, all Shellz subscription charges and purchases are final and non-refundable.
